Terms and Conditions of Atom Impact

Welcome to Atom Impact. These Terms and Conditions (“Terms”) govern your access to and use of the Atom Impact mobile application, website, content, features, subscriptions, and related services collectively referred to as the “Service”.

The Service is operated by Taleb Souli, operating as Atom Impact — 1545 Graham Boulevard, Mont-Royal, Quebec H3R 1G7, Canada (“Atom Impact,” “we,” “us,” or “our”). You may contact us at [email protected].

Please read these Terms carefully before using Atom Impact. By downloading, accessing, creating an account, purchasing a subscription, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Privacy Policy

Your use of Atom Impact is also governed by our Privacy Policy, which explains how we collect, use, store, and protect personal data.

2. Eligibility and User Responsibility

You must be legally able to agree to these Terms. If you are under the age of majority in your jurisdiction, you may use Atom Impact only with the permission and supervision of a parent or legal guardian.

You are responsible for ensuring that your use of Atom Impact is lawful in your country, province, state, or region. You agree to provide accurate account information and to keep your account credentials secure.

3. Fitness and Health Disclaimer

Before starting, changing, or intensifying any exercise program, you should consult a qualified healthcare professional, especially if you have a medical condition, injury, disability, heart condition, pain, pregnancy, recent surgery, or any concern about your health or ability to exercise safely.

You understand and agree that exercise involves inherent risks, including discomfort, injury, illness, or aggravation of existing conditions. You are responsible for using your own judgment, exercising safely, stopping if you feel pain, dizziness, unusual shortness of breath, chest discomfort, or other concerning symptoms, and seeking medical help when appropriate.

You use Atom Impact and perform any exercises, workouts, or recommendations at your own risk.

4. Not a Personal Trainer or Healthcare Provider

Atom Impact may help you organize workouts, track progress, view fitness data, and receive app-generated suggestions. However, Atom Impact is not a personal trainer, doctor, dietitian, physiotherapist, or healthcare provider.

Any plans, insights, recommendations, or progress information generated by the Service are based on the information available to the app and may not reflect your full physical condition, training experience, limitations, or medical history.

5. Accounts and Authentication

Some features require an account. You may be able to create or access an account using direct registration, Google authentication, Sign in with Apple, or another supported method.

You agree that the information you provide is accurate and that you will keep your login credentials confidential. You are responsible for activity that occurs under your account, except where caused by our failure to use reasonable security measures.

6. Subscriptions, Paid Features, and In-App Purchases

Atom Impact may offer free features and paid features, including subscriptions, free trials, discounts, lifetime purchases, or other in-app purchases.

Paid features may be processed through the Apple App Store, Google Play Store, RevenueCat, or other payment providers. Prices, billing periods, trial details, renewal terms, and available plans will be shown before purchase.

By purchasing a subscription, you understand that it may automatically renew unless cancelled before the end of the current billing period, according to the rules of the platform where you purchased it.

7. Apple App Store Purchases

If you purchase through Apple, billing, renewal, cancellation, and refund requests are managed through your Apple ID and Apple’s App Store systems. You can manage or cancel Apple subscriptions in your Apple account settings.

8. Google Play Purchases

If you purchase through Google Play, billing, renewal, cancellation, and refund requests are managed through your Google account and Google Play systems. You can manage or cancel Google Play subscriptions in your Google Play account settings.

9. RevenueCat

We may use RevenueCat to manage subscription status, purchase validation, entitlements, and access to paid features. RevenueCat does not replace Apple or Google as the payment processor for purchases made through their stores.

10. Cancellation and Refunds

You may cancel a subscription at any time through the platform where you purchased it. Cancellation generally prevents future renewals but does not automatically refund the current billing period unless the applicable app store or law provides otherwise.

Refunds for purchases made through the Apple App Store are handled according to Apple’s policies. Refunds for purchases made through Google Play are handled according to Google Play’s policies and applicable law.

We may provide support with subscription access issues, but we do not control all refund decisions made by Apple or Google.

11. Free Trials, Discounts, and Promotional Offers

Atom Impact may offer free trials, introductory pricing, discounts, promotional access, or limited-time offers. The terms of each offer will be shown at the time of the offer.

Unless cancelled before the trial or promotional period ends, a subscription may renew into a paid subscription at the price and billing period shown during purchase. Availability of trials, discounts, and promotional offers may vary by user, platform, country, and time.

12. Apple Health, HealthKit, and Device Permissions

Atom Impact may request access to Apple HealthKit or device permissions such as camera, photo library, notifications, or other permissions depending on the features you choose to use.

You control whether to grant these permissions through your device settings. If you deny or revoke permissions, some features may not work properly.

HealthKit and fitness data are used only to provide app functionality, progress tracking, insights, and personalization inside Atom Impact. We do not use HealthKit data for advertising or sell HealthKit data.

13. User Content and Progress Data

You may be able to add, upload, store, or generate content in Atom Impact, such as workout history, progress photos, measurements, notes, preferences, or feedback (“User Content”).

You remain the owner of your User Content. By submitting User Content to Atom Impact, you grant us a limited, worldwide, non-exclusive, royalty-free license to host, store, process, display, back up, and use that content only as needed to provide, maintain, secure, support, and improve the Service.

You are responsible for the User Content you provide. You must not upload or submit content that is unlawful, harmful, abusive, defamatory, infringing, misleading, invasive of privacy, or otherwise inappropriate.

We may remove or restrict content if we reasonably believe it violates these Terms, applicable law, or the safety or integrity of the Service.

14. Acceptable Use

You agree not to:

• use the Service for unlawful, harmful, fraudulent, abusive, or unauthorized purposes;
• copy, resell, lease, sublicense, or commercially exploit the Service without permission;
• reverse engineer, decompile, modify, or attempt to extract source code except where allowed by law;
• interfere with, disrupt, overload, or damage the Service or its systems;
• attempt to access accounts, data, systems, or networks without authorization;
• scrape, crawl, mine, or harvest data from the Service without permission;
• upload malware, viruses, harmful code, or content that disrupts the Service;
• impersonate another person or misrepresent your identity;
• use the Service to violate the rights of others.

15. Intellectual Property

Atom Impact, including its design, software, features, text, graphics, logos, branding, exercise library, images, videos, animations, and other content, is owned by Atom Impact or its licensors and is protected by intellectual property laws.

Subject to your compliance with these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Atom Impact for your own personal, non-commercial fitness and wellness purposes.

You may not copy, distribute, modify, sell, rent, reproduce, publicly display, or create derivative works from Atom Impact content unless we give you written permission or the law allows it.

16. Third-Party Services

Atom Impact may use or integrate third-party services, including app stores, authentication providers, hosting providers, analytics tools, payment/subscription tools, crash reporting tools, and health platform APIs.

Your use of third-party services may be subject to their own terms and privacy policies. We are not responsible for third-party services that we do not control, but we select service providers that support the operation, security, and functionality of Atom Impact.

17. App Stores and Platform Terms

If you download Atom Impact from the Apple App Store or Google Play Store, your use of the app may also be subject to the applicable app store terms, rules, and policies.

For Apple users, Apple’s standard end user license agreement may apply unless a custom license agreement is provided through App Store Connect.

For Google Play users, Google Play’s terms and billing rules may apply to downloads, subscriptions, payments, cancellations, and refunds.

18. Availability, Updates, and Changes to the Service

We may update, modify, suspend, discontinue, or restrict access to any part of the Service at any time, including features, plans, content, pricing, and availability.

We try to keep Atom Impact reliable and useful, but we do not guarantee that the Service will always be available, uninterrupted, secure, error-free, or compatible with every device, operating system, or app version.

19. Termination

You may stop using Atom Impact at any time. You may also request account deletion where available in the app or by contacting us at [email protected].

We may suspend or terminate your access to the Service if we reasonably believe that you violated these Terms, created risk for other users or the Service, used the Service unlawfully, or engaged in abuse, fraud, or unauthorized activity.

Termination does not automatically cancel active subscriptions. You must cancel subscriptions through the platform where you purchased them, such as Apple or Google Play.

20. Disclaimer of Warranties

To the maximum extent permitted by law, Atom Impact is provided “as is” and “as available.” We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement, and uninterrupted or error-free operation.

We do not guarantee that the Service, workouts, insights, recommendations, content, or data will be accurate, complete, safe for every user, or suitable for your personal needs.

Some jurisdictions do not allow certain warranty exclusions, so some of these exclusions may not apply to you.

21. Limitation of Liability

To the maximum extent permitted by law, Atom Impact and its owner, service providers, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost data, loss of goodwill, business interruption, personal injury, property damage, or any damages arising from your use of or inability to use the Service.

To the maximum extent permitted by law, our total liability for any claim relating to the Service or these Terms will be limited to the greater of: (a) the amount you paid to Atom Impact for the Service during the twelve months before the event giving rise to the claim; or (b) CAD $100.

Nothing in these Terms limits rights or remedies that cannot be limited under applicable consumer protection laws.

22. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Atom Impact from claims, damages, losses, liabilities, costs, and expenses arising from your use of the Service, your User Content, your violation of these Terms, your violation of law, or your violation of another person’s rights.

This section does not apply where prohibited by consumer protection law.

23. Consumer Rights

Nothing in these Terms is intended to limit any rights you may have under applicable consumer protection, privacy, health, app store, or other laws that cannot be waived or limited by contract.

If any part of these Terms conflicts with mandatory consumer protection laws that apply to you, those laws will control.

24. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last updated” date above and may notify users through the app, website, email, or other reasonable means.

Your continued use of Atom Impact after updated Terms become effective means you accept the updated Terms. If you do not agree to the updated Terms, you should stop using the Service and cancel any active subscription through the platform where you purchased it.

25. Governing Law

These Terms are governed by the laws of the Province of Quebec and the applicable laws of Canada, without regard to conflict of law rules.

Where permitted by law, disputes relating to these Terms or the Service will be handled by the competent courts located in Quebec, Canada. This does not limit mandatory consumer rights that may allow you to bring claims in your local jurisdiction.

26. Assignment

You may not assign or transfer these Terms or your account without our prior written permission. We may assign these Terms as part of a merger, acquisition, restructuring, sale of assets, change of business form, or transfer of the Service, provided that your rights under these Terms are not materially reduced.

27. Severability and Waiver

If any part of these Terms is found invalid or unenforceable, the remaining parts will continue to apply. Our failure to enforce any part of these Terms does not waive our right to enforce it later.

28. Entire Agreement

These Terms, together with the Privacy Policy and any additional terms shown at the time of purchase or feature use, make up the entire agreement between you and Atom Impact regarding the Service.
